Commercial Leases; Commercial Real Estate / Real Property

Though commercial leases tend to be some of the densest contracts a lawyer will tackle, these instruments are generally straight-forward.  As negotiated, commercial leases for the landlord or for the commercial tenant are a tremendous driver for dictating the fiscal health of either party in what should be a mutually beneficial business arrangement.  Having drafted and negotiated commercial leases, this Firm can help either party—a landlord or a commercial tenant—secure the most appropriate protections.

IP Due Diligence / Counseling

Sometimes, the main driver of a corporate balance sheet or the likelihood of a corporate transaction is the value of the IPRs an entity possesses.  The value of these assets is derived from their legal breadth and scope, all as a function of time.  Performing due diligence requires a quantitative (and qualitative) analysis of the IPRs.  We have the expertise and experience to conduct your IP due diligence and to counsel you, for example, on whether and how to safeguard your IP or to enforce your existing property rights, whether real or intellectual.

Mergers & Acquisitions (M&A)

A merger defines the situation where there has been a consolidation of entities or assets and a new entity is formed.  However, an acquisition is the purchase of an entity or its assets where no new entity is formed.  Typically, a complex contract is memorialized that defines the parameters of the transaction.  Mr. Newman has more than sufficient experience to help your entity concerning M&A.
